Bain Capital GSS Investment Corp. is a newly organized blank check company incorporated on March 24, 2025 as a Cayman Islands exempted company and formed for the purpose of effecting a merger, share exchange, asset acquisition, share purchase, reorganization or similar business combination with one or more businesses or entities, which we refer to as our initial business combination.

Our sponsor, Bain Capital GSS Investment Sponsor LLC, is controlled by partners from Bain Capital’s Special Situations business. Consistent with the Special Situations investment mandate, our approach is opportunistic and thematic. We focus on complex situations that can benefit from both strategic capital and hands-on partnership including corporate carve-outs with untapped standalone potential, recapitalizations that address capital structure inefficiencies, and businesses undergoing strategic repositioning where operational transformation can unlock long-term value.
